Terms of service

How escrow works, what happens when work is disputed, how payouts are made, and what gets an account closed.

Who these terms are with

ViralPoint is operated by AriAde Ltd of Lagos, Nigeria. By creating an account you agree to these terms. We are a marketplace, not a party to your agreements — when a brand and a creator agree work through ViralPoint, that agreement is between them. We provide the escrow that holds the money, the process that releases it, and the arbitration that resolves it when the two of you disagree.

Accounts

You must be 18 or over, with one account per person or company. Your information must be accurate, particularly your country and payout details — your country fixes your currency and payment rails and can't be changed casually. You're responsible for your password; we will never ask for it. Posting offers and withdrawing require a verified email, and larger withdrawals require verified identity.

The three offers

Deal. The brand posts a brief; creators propose their own price; the brand selects up to the configured maximum, and escrow funds at that moment for the exact amounts proposed.

CPM Deal. The brand sets a rate per 1,000 views and a budget, escrowed in full at publication. Creators are paid against verified view counts. The budget is a hard ceiling; if entitlements exceed it, every participant is scaled down proportionally rather than paid in claim order.

Challenge. The brand escrows a prize pool at publication, subject to a minimum. At the deadline the pool is split among the top finishers by verified view count, in proportion to their share of qualifying views. If nobody qualifies, the full pool returns to the brand.

Escrow and payment

Escrowed money is held on behalf of the transaction, not ours to spend, lend or invest, and does not earn interest for either party. Once escrowed, a brand cannot withdraw it except through the routes below. An offer denominated in one currency may be paid to a creator in another; conversion happens at payout using the rate and margin shown before you confirm.

Review and revision

A brand must actively review and approve a submission — nothing is ever accepted automatically. A brand must ask for at least one revision before denying outright, and a denial must state a reason. If a brand lets its review window lapse without a decision, the submission is not auto-accepted; instead the creator may escalate it to ViralPoint staff, who will review the brief and the delivered work directly with the brand. Escrowed funds are never released without either the brand's approval or a staff decision.

Disputes

A creator may contest a denial, or escalate an unanswered review, within the stated window. Both parties may submit evidence, and funds remain in escrow throughout — neither side holds them. A ViralPoint administrator reviews the brief, the submission and the evidence, and may award the full amount to the creator, return it in full to the brand, or split it, with reasoning given to both parties. Our decision on the release of escrowed funds is final as far as the platform is concerned; it does not affect any right you have to pursue the other party outside ViralPoint.

Payouts

Released earnings sit in a short hold period before becoming withdrawable. Payouts are currently processed manually by our team: you request a withdrawal, we transfer it from the platform's own bank account to yours, and mark it settled with a reference you can quote. Payouts go only to an account in your own name. If a transfer fails, the money returns to your available balance before you're notified — it is never lost in transit. We may hold a payout where we have a reasonable suspicion of fraud, a legal requirement to, or an open dispute, and will tell you why.

Fees

Joining, posting an offer and applying to one are free. We take a commission on money that actually moves to a creator, disclosed on our homepage. There is no charge on work that was never accepted, and unspent escrow is always returned in full. Payment providers may apply their own charges, and currency conversion carries a margin, both disclosed before you confirm.

Content and rights

Creators keep ownership of the content they make; nothing is hosted by us. A brand receives only the usage rights specified in the brief, for the period stated there. Creators warrant that submitted content is their own work, that they hold any necessary rights, and that it complies with the advertising disclosure rules of their country and platform — disclosure is the creator's legal responsibility. You grant us permission to display your submitted post and its metrics inside the platform, to the relevant brand and to our staff, for as long as needed to run and audit the transaction.

What gets you suspended

Buying views or engagement, manipulating the numbers we pay against, submitting work that isn't yours or that infringes someone else's rights, taking a deal off-platform to avoid fees after being introduced here, duplicate accounts, abuse of the other party or our staff, or using the platform to launder money or evade sanctions. We may suspend an account while we investigate; escrowed funds relating to completed, undisputed work are not forfeited by a suspension, though we may hold them until the investigation concludes.

View counts

CPM Deals and Challenges pay against view counts read from TikTok, Instagram and YouTube, or from evidence a creator submits that our staff verify where a platform's data isn't available to us. We depend on those platforms and cannot guarantee their accuracy or availability; counts are snapshotted at settlement and later platform revisions do not reopen a completed payout. A post deleted or made private before settlement may be disqualified, and implausible growth may be held for review before payment.

Liability

We provide the platform as it is, without guaranteeing that an offer will attract creators or that content will perform commercially. Nothing here limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot lawfully be limited. Subject to that, our liability to you is limited to the fees we earned on the transaction giving rise to the claim, and we are not liable for lost profit or lost opportunity. Escrowed funds are separate from this limit — money we hold for you is yours, and this cap does not apply to our obligation to account for it.

Ending your account

You can close your account at any time once open offers are resolved, escrowed funds settled, and any available balance withdrawn. We retain the financial records the law requires regardless. We may close an account for a serious or repeated breach of these terms, with an explanation, and will settle any balance properly owed to you.

Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction. If you are a consumer elsewhere, this does not remove protections you have under your own local law.
